18 November 2014

CityFibre is pleased to announce the appointment of Stephen Charlton as non-executive director and Chairman of the Audit Committee, with immediate effect. Mr. Charlton, a chartered accountant, brings to the Board more than 30 years of experience in the financial and investment arena, encompassing accounting, investment management, banking, equity and debt capital markets, real estate and private equity. For the last ten years, Mr. Charlton was a Managing Director within a subsidiary of Fortress Investment Group, a diversified global investment manager with approximately $64bn in assets under management. During his distinguished career, Mr. Charlton held CFO and CEO positions within two of Fortress Investment Group's listed portfolio companies, Gagfah S.A. and Eurocastle Investment Limited, where he oversaw debt financing/re-financing totaling more than €10bn and equity raises within the public markets of €1.5bn, as well as creating efficient capital structures with low cost of capital and minimal taxation. Peter Manning, Chairman of CityFibre, commented:
"We're delighted to welcome Stephen to the CityFibre Board at this exciting time in our development. Our recently announced national framework agreement with EE, Three UK and MBNL, as well as our ongoing development of FTTH in our joint venture with Sky and TalkTalk, are strong catalysts to drive greater footprint scale. His impressive experience in debt financings will prove invaluable as the Company proceeds with the next phase of its capital formation in the corporate debt markets. His arrival marks a significant strengthening of the Board's capability, and we look forward to his contribution to the further development of CityFibre."
